These Terms of Service ("Terms") govern your access to and use of TradePak (the "Service"), including the website at gettradepak.com and the TradePak mobile app. By creating an account or using the Service, you agree to these Terms. If you're agreeing on behalf of a business, you're confirming you have the authority to bind that business, and "you" refers to both you and the business.
TradePak is subscription software for trade and service businesses to create quotes, schedule and track jobs, send invoices, accept online payments, manage clients and subcontractors, and generate related reports and documents (including 1099-NEC forms and tax summaries). TradePak is a tool for running your business - it doesn't perform the work you quote, doesn't guarantee any client will accept a quote or pay an invoice, and doesn't act as your accountant, bookkeeper, tax preparer, or attorney.
When a client clicks Accept or Decline on a quote, or you generate a Service Agreement through the app, TradePak is providing the mechanism, not a legal opinion on whether the resulting agreement is enforceable in your situation or jurisdiction. You're responsible for deciding whether that's an appropriate way to form a contract with a given client and for using a different method (a signed paper agreement, for example) when it isn't.
You must provide accurate information when creating an account and keep your login credentials secure. You're responsible for all activity that happens under your account, including anything done by team members you invite. Tell us right away if you think your account has been compromised.
You must be at least 18 years old and legally able to enter into a contract to use TradePak.
TradePak is billed as a recurring monthly subscription through Stripe. New subscriptions include a 14-day free trial - a payment method is required to start the trial, but you won't be charged unless it runs to completion without being canceled. Only your first subscription gets a trial; if you've subscribed before (including a prior subscription you canceled), a new subscription starts billing immediately. After the trial (or immediately, if none applies), billing starts and subscriptions renew automatically each month until canceled. You can cancel at any time from your account; canceling during an active trial means you're never charged, while canceling an active paid subscription stops future billing but doesn't refund the current billing period unless we say otherwise in a specific case. Prices may change with notice posted on this site or sent to your account email before the change takes effect.
If a payment fails, we may suspend access to your account until it's resolved.
You own the information you put into TradePak - your business details, quotes, invoices, client information, job records, and everything else you or your team enters. We don't claim ownership of it. You're responsible for the accuracy of what you enter, including client contact information and any subcontractor tax information collected through the app.
You grant us permission to store, process, and display your content as needed to provide the Service (for example, generating a PDF from your quote, or emailing an invoice to your client on your behalf).
Some features (drafting a quote from a description or photo) use AI to generate a starting draft. AI-generated line items, pricing, and descriptions are estimates only - review and edit them before sending anything to a client. You're responsible for what you ultimately send, quote, invoice, or represent to your clients, regardless of what the AI drafted.
TradePak's tax-related features (including the Tax Reports summary, mileage and home office deduction calculators, and 1099-NEC generation) are record-keeping and document-generation tools, not tax, legal, or accounting advice. The 1099-NEC PDF TradePak generates is the recipient's copy (Copy B) only - you are responsible for separately filing the official copy with the IRS by the applicable deadline, and for the accuracy of all figures. Consult a qualified accountant or tax professional for advice specific to your situation.
Online payments (both your subscription and any payments your clients send you through TradePak) are processed by Stripe. TradePak never sees or stores full card numbers. If you connect Stripe to accept client payments, you're also agreeing to Stripe's own terms of service, and payouts to your bank account are handled entirely by Stripe, not TradePak. We aren't responsible for delays, holds, or disputes arising from Stripe's handling of a payment.
Account owners can invite team members and control what each person can see and do within the app. Owners are responsible for who they invite and what access they grant. Removing a team member revokes their access immediately but doesn't delete their personal account with TradePak.
You agree not to:
TradePak relies on third-party services to operate - including Stripe (payments), Resend (email delivery), Supabase (data and file storage), Google (optional sign-in), Anthropic (AI quote generation), and Vercel (hosting). We aren't responsible for outages, errors, or changes on their end, though we'll do our best to work around them.
You can stop using TradePak and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if your account is inactive and unpaid for an extended period. If we terminate your account for a reason other than your own violation of these Terms, we'll make reasonable efforts to give you notice and a chance to export your data first.
TradePak is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable for any specific job.
To the maximum extent permitted by law, TradePak and its owners/operators aren't liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
You agree to defend and indemnify TradePak against any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.
We may update these Terms from time to time. If we make material changes, we'll update the date at the top of this page and, where appropriate, notify you by email or in-app notice. Continuing to use TradePak after a change means you accept the updated Terms.
These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles, unless a different jurisdiction is required by applicable law. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Iowa, and you consent to that jurisdiction and venue.
